The purpose of these Expert Terms is to outline the rules and guidelines that govern the participation of experts on our platform. By agreeing to these terms, you are acknowledging and accepting the responsibilities and conditions of being an expert on PAAQ.
These Terms shall govern your use of PAAQ mobile application, as available on Google Play Store and Apple App Store (hereinafter referred to as the “App” or “Platform”).

Please read these Terms carefully, as these, along with our Community Guidelines, Cookie Policy, and Privacy Policy statement forms the entire agreement between you and PAAQ. Your access to and use of the App is conditioned on your acceptance of and compliance with these Terms. If you do not accept these Terms in its entirety, then you may not use the website, App, or provide any services on the App.
1. DEFINITIONS
a) Account: The user profile created by an expert on the PAAQ platform.
b) App: The mobile application called PAAQ available on both the Play Store and App Store.
c) Content: Any information, text, images, videos, or other materials provided by experts on the PAAQ platform.
d) Expert or you: An individual who has registered on the PAAQ platform to provide answers or advice based on their professional expertise.
e) PAAQ: The knowledge-sharing platform operated by PAAQ App Limited where users can ask questions and receive answers from experts.
f) PAAQ Wallet: The digital wallet within the PAAQ platform where experts can receive payments for their services and manage their funds.
g) Platform: The PAAQ mobile application and any associated web applications or services.
h) Profile: The detailed information provided by an expert, including qualifications, expertise, and other relevant data.
i) Questions: The inquiries submitted by users to experts on the PAAQ platform seeking advice or answers.
j) Rates: The fees set by experts for providing answers to questions on the PAAQ platform.
k) User: Any individual who uses the PAAQ platform to ask questions or interact with experts.
l) Verification Badge: The mark given to an expert’s profile after successfully completing PAAQ’s verification process to ensure authenticity.
m) Withdrawal: The process by which an expert transfers funds from their PAAQ Wallet to their bank account through the integrated payout system.

2. ACCEPTANCE OF THE EXPERT TERMS
By registering as an expert on PAAQ, or by clicking on a button or taking similar action to signify your affirmative acceptance of these Terms, you hereby represent that:
a) You have read, understood, and agreed to be bound by these Terms and any future updates and additions to these Terms, as published from time to time at our website (www.paaq.app) and App.
b) You are of sound mind, at least of 18 years in legal age, and otherwise competent to form a binding contract with us. By registering as an expert, you represent and warrant that you meet all of the foregoing eligibility requirements.
c) We must not have previously disabled your account for violation of law or any of our policies.
d) You have read, understood, and consented to our Community Guidelines, Cookie Policy, as well as our Privacy Policy statement.
3. ACCOUNT REGISTRATION
- Be at least 18 years old.
- Have the necessary qualifications and expertise in your specified field.
- Provide accurate and complete information during the registration process.
- Comply with all applicable laws and regulations.
- i. Download the App: Install the PAAQ app from the Play Store or App Store.
- ii. Create an Account: Sign up using your email address and set up a secure password.
- iii. Complete Your Profile: Provide your full name, email address, phone number, profile picture, introduction video, profession, and social media usernames.
- iv. Verification: PAAQ will verify your profile using a facial recognition algorithm to match your profile picture in your introduction video. Once verified, you will receive a verification badge.
- v. Set Your Rates: Determine the rates for your text and video answers, including any free questions you are willing to answer.
a) Eligibility: To become an expert on PAAQ, you must meet the following criteria:
By registering as an expert, you represent and warrant that you meet all eligibility requirements and that the information you provide is truthful and accurate.
b) Registration Process: To register as an expert on PAAQ, follow these steps:
c) Account Security: You are responsible for maintaining the confidentiality of your account information, including your password. You agree to notify PAAQ immediately of any unauthorized use of your account or any other security breach, and ensure that you exit from your account at the end of each session. You must use caution when accessing your account from a public or shared device. PAAQ will not be liable for any loss or damage arising from your failure to comply with these security obligations.
d) Non-Compliance: Failure to comply with these requirements may result in the suspension or termination of your account.
4. REPRESENTATION AND WARRANTIES BY EXPERTS
You represent and warrant that:
a) Qualifications and Expertise: You possess the necessary qualifications, knowledge, and expertise in the field(s) you have indicated on your PAAQ profile. You agree to provide accurate and up-to-date information about your credentials and experience.
b) Complete Answers: You will not answer a paid question with another question. As an expert on PAAQ, you understand the importance of providing complete and informative responses. Answering questions with another question can be frustrating for users and is not conducive to a positive experience. Therefore, you commit to delivering thorough and direct answers to all paid questions.
c) Rejecting Irrelevant Questions: You will reject paid questions or messages that are outside the scope of your knowledge. It is essential to maintain the quality and accuracy of the information provided on PAAQ. If you receive a question that falls outside your area of expertise, you will promptly reject it to ensure users receive the best possible advice from the most qualified experts.
d) Adhering to Community Guidelines: You will not go against PAAQ’s Community Guidelines. Upholding the platform’s standards is crucial for maintaining a safe and respectful environment for all users and experts. You commit to familiarizing yourself with and adhering to these guidelines in all your interactions on the platform.
e) Reporting Violations: You will report any question that is against the community guidelines. If you encounter any content or behaviour that violates PAAQ’s Community Guidelines, you will promptly report it to the platform administrators. This helps maintain the integrity and safety of the PAAQ community.
f) Respectful and Honest Responses: You will be respectful and honest in your responses. Providing truthful, respectful, and well-considered answers is fundamental to your role as an expert. You commit to treating all users with respect and delivering honest advice that reflects your professional expertise.
g) Compliance with Laws: You will comply with all applicable laws, regulations, and ethical standards relevant to your field of expertise. You will not engage in any activities that violate legal or regulatory requirements.
h) Accuracy of Information: All information and content you provide on the PAAQ platform, including answers to questions, are accurate, truthful, and based on your professional knowledge. You agree not to provide false or misleading information.
i) Confidentiality: You will maintain the confidentiality of all information shared with you by users. You will not disclose any confidential or proprietary information without the explicit consent of the user, except as required by law.
j) Professional Conduct: You will conduct yourself professionally and respectfully when interacting with users on the PAAQ platform. You agree to provide high-quality and timely responses to user questions and to adhere to PAAQ’s community guidelines.
k) No Conflict of Interest: Your participation as an expert on PAAQ does not conflict with any obligations you may have to third parties, including employers, clients, or other contractual relationships. You agree to disclose any potential conflicts of interest to PAAQ in writing.
l) Intellectual Property: The content you provide on PAAQ, including answers, does not infringe on the intellectual property rights of any third party. You agree to respect the intellectual property rights of others and to use only lawful and authorized content.
m) Use of Platform: You will use the PAAQ platform solely for the purpose of providing answers and advice based on your expertise. You agree not to misuse the platform for any unauthorized or harmful activities.
n) User Privacy: You will respect the privacy of users and will not share or disclose any personal information obtained through the platform without the user’s explicit consent, except as required by law.
o) Non-Promotional Use: You will not use the PAAQ platform to promote your own products, services, or other commercial interests unless explicitly permitted by PAAQ. Your primary focus should be on providing value and assistance to users.
p) Timely Response: You will respond to user questions within the designated 48-hour timeframe. You agree to inform PAAQ and the user promptly if you are unable to meet this requirement for any reason.
q) Indemnification: You will indemnify and hold harmless PAAQ, its affiliates, and users from any claims, damages, or liabilities arising from your breach of these representations and warranties or your misuse of the platform.
5. ALLOWED USES OF THE PLATFORM AND SERVICES
Here is what you are allowed to do on the platform:
a) Providing Expert Advice: You are allowed to use the PAAQ platform to provide accurate, high-quality advice and answers to users' questions based on your professional expertise. Your primary role is to assist users by sharing your knowledge and insights.
b) Setting Rates and Managing Services: You are allowed to set your own rates for answering questions and managing your service offerings on the platform. This includes determining the number of questions you will answer and any additional services you may offer within the guidelines of PAAQ.
c) Engaging with Users: You are allowed to engage with users through the platform's messaging system to clarify questions, provide detailed answers, and offer follow-up advice as needed. All interactions must be professional and respectful.
d) Creating and Updating Your Profile: You are allowed to create and maintain a comprehensive and accurate profile that reflects your qualifications, expertise, and professional background. This includes uploading a profile picture, introduction video (Recorded within PAAQ only), and any other relevant information.
e) Participating in Platform Features: You are allowed to participate in all features and functionalities offered by the PAAQ platform, such as tier upgrades, promotional activities, and any other expert-focused initiatives.
f) Receiving Payments: You are allowed to receive payments for your services rendered on the PAAQ platform. This includes managing your PAAQ Wallet, withdrawing funds through the integrated payout system, and ensuring compliance with the platform’s payment policies.
g) Reporting Issues and Providing Feedback: You are allowed to report any technical issues, inappropriate behavior, or violations of platform rules through PAAQ’s support system. Additionally, you can provide feedback and suggestions to help improve the platform and services.
h) Directions of Use: You must follow any and all guidelines or policies or directions of use as associated with each of the services on the platform.
i) Personal Information: Whenever prompted, you must provide us with the correct, accurate, and updated information. These will be handled in accordance with the Privacy Policy statement posted on our website and App.
6. PROHIBITED USES
Here is what you are not allowed to do on the platform:
a) Providing False Information: You are prohibited from providing false, misleading, or inaccurate information in your profile, answers, or any content shared on the PAAQ platform. All information must be truthful and based on your professional expertise.
b) Engaging in Unprofessional Conduct: You are prohibited from engaging in any unprofessional, disrespectful, or abusive behavior towards users or other experts. This includes harassment, discrimination, or any form of inappropriate communication.
c) Misusing User Information: You are prohibited from using, sharing, or disclosing any personal information of users obtained through the platform for any purpose other than providing answers to their questions. User information must be kept confidential and used solely for the intended purpose.
d) Promoting Personal Interests: You are prohibited from using the PAAQ platform to promote your own products, services, or any other commercial interests unless explicitly permitted by PAAQ. The platform should not be used for personal gain beyond the services offered through PAAQ.
e) Violating Intellectual Property Rights: You are prohibited from using, sharing, or distributing content that infringes on the intellectual property rights of others. This includes using copyrighted materials without permission or providing answers that contain plagiarized content.
f) Engaging in Fraudulent Activities: You are prohibited from engaging in any fraudulent activities, including but not limited to, manipulating reviews, providing fake answers, or attempting to deceive users for financial gain.
g) Bypassing Platform Features: You are prohibited from attempting to bypass any of the platform’s features, payment systems, or security measures. This includes attempting to arrange payments or communications outside of the PAAQ platform.
h) Disrupting Platform Operations: You are prohibited from engaging in any activities that could disrupt the operation of the PAAQ platform, including hacking, introducing malware, or any other actions that could harm the platform’s functionality.
i) Soliciting Personal Information: You are prohibited from soliciting sensitive personal information from users, such as credit card details, social security numbers, or any other private information not relevant to the provision of expert advice.
j) Engaging in Illegal Activities: You are prohibited from using the PAAQ platform to engage in any activities that are illegal or violate any laws or regulations. This includes providing advice that encourages or facilitates illegal activities. This also includes providing advice in a field or jurisdiction which requires a license, but where you do not have such a license.
k) Community Guidelines: You cannot engage in any act that violates our Community Guidelines, including without limitation, harassment, illegal activities, and spamming.
l) Malicious Code: Distributing viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the service.
m) Data Mining: Using data mining, robots, or similar data gathering and extraction tools on the platform.
n) Excessive Load: Creating an unreasonable or disproportionately large load on the platform’s infrastructure.
o) Cheating the System: Using any unauthorized tool (e.g., bots, scripts) to modify or automate operation within the platform.
p) Interference: Interfering with or circumventing the security features of the service, other websites, or the Internet.
q) Violation of Terms and Conditions: Any action that violates any of the terms included in these Terms.
r) Reverse Engineering: You cannot reverse engineer or try to reverse engineer any of the proprietary/intellectual property aspects of, including but not limited to the services, software, our platforms, networks, systems, etc., wholly or in part.
s) Data Extraction: You must not conduct any systematic or automated data collection activities (including without limitation scraping, data mining, data extraction, and data harvesting) on or in relation to our website/App, without our express written consent.
7. PAAQ COMMISSION AND PAYMENT TERMS
a) Setting Rates: Experts are responsible for setting their own rates for answering questions on the PAAQ platform. These rates should be clearly indicated on their profile and can be adjusted as needed. PAAQ does not set or cap the rates; it is up to each expert to determine the value of their services.
b) Payment Processing: Payments for services rendered by experts are processed through the PAAQ platform. When a user makes a payment for a question, the funds are held in the expert’s PAAQ Wallet until the question-and-answer transaction is completed.
c) Withdrawal of Funds: Experts can withdraw their earnings from the PAAQ Wallet to their bank account via the integrated payout platform, Stripe. The minimum withdrawal amount is $10 for standard transactions and $100 for PayPal transactions. Funds are available for withdrawal only after the expert has provided the agreed-upon services.
d) Fees and Commissions: PAAQ charges a twenty percent (20%) commission on all earnings or funds available for withdrawal in the expert’s wallet. This fee is deducted from the total amount being transferred from the PAAQ Wallet to the expert’s bank account or PayPal account. PAAQ reserves the right to modify such commission at any time with or without notice.
e) Payment Timing: Once an expert requests a payout, the funds are transferred according to Stripe’s processing times. Experts are advised to refer to Stripe’s policies for specific details on timing and any potential delays.
f) Pending Payments: Funds from user payments are held in a pending state in the expert’s PAAQ Wallet until the expert has successfully completed the question-and-answer transaction.
g) Refunds and Disputes: If an expert fails to answer a question within the designated 48-hour timeframe, the user is entitled to a refund for that question. In such cases, the funds will be returned to the user’s PAAQ Wallet. Experts
h) Failing to Answer all Questions:If you fail to answer all the questions in a Question-andAnswer session, you will only be compensated for the questions you did answer. For example, if you agreed to answer 10 questions for a rate of $100 but only answered 5 questions, your compensation will be calculated based on the answered questions. In this case, you would receive $50 for the 5 questions you answered. Unanswered questions will not be compensated, and the corresponding funds will be refunded to the user.
i) Tax Responsibilities: Experts are responsible for determining and fulfilling any tax obligations that arise from their earnings on the PAAQ platform. Unless required by the applicable law, PAAQ does not withhold any taxes on behalf of experts and advises experts to consult with a tax professional to ensure compliance with local tax laws.
j) Currency: All amounts are specified in USD, unless specified otherwise.
8. REVIEWS
a) Receiving Reviews: Experts understand that users have the ability to leave reviews and ratings based on their experiences. Reviews should reflect the user’s genuine opinion and experience with the expert’s services.
b) Prohibited Actions: Experts are strictly prohibited from engaging in any actions that manipulate or undermine the integrity of the review system on the PAAQ platform. This includes, but is not limited to, soliciting positive reviews, asking users directly for favourable ratings, offering incentives or compensation in exchange for positive feedback, threatening or harassing users to influence their reviews, or submitting false reviews for themselves or others. Additionally, experts must not attempt to manipulate the review system by creating fake accounts or coordinating with others to submit biased or misleading reviews. Any such actions will result in immediate disciplinary measures, including potential suspension or termination of the expert’s account.
c) Providing Honest Services: Experts are responsible for providing honest and high-quality services to ensure positive feedback. Misleading or low-quality services that result in negative reviews can affect the expert’s reputation and standing on the platform.
d) Responding to Reviews: Experts may respond to reviews professionally and courteously.
9. INTELLECTUAL PROPERTY
a) Ownership of Content and Services: All content featured or displayed on the PAAQ App and website, including, but not limited to, text, graphics, photographs, images, moving images, sound, illustrations, software, calculators, algorithms, and all other materials, as well as the trademarks, logos, and service marks (collectively, "Content"), are owned by PAAQ APP LIMITED, its licensors, or its content providers. The design, structure, selection, coordination, expression, “look and feel”, and arrangement of such Content, contained on the App or website, are owned by the Company, and are protected by copyright, patent, and trademark laws, and various other intellectual property rights and unfair competition laws.
b) Use of PAAQ Content: As an expert, you retain ownership of all content you create and provide on the PAAQ platform, including answers, videos, and any other materials. However, by submitting content to PAAQ, you grant PAAQ a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, publish, and distribute your content in connection with the operation and promotion of the platform.
c) License: By providing content on the PAAQ platform, you grant PAAQ a perpetual, irrevocable, non-exclusive, royalty-free, transferable, and sublicensable license to use, display, distribute, and create derivative works from your content. This license allows PAAQ to promote and enhance the platform, ensuring that users can access valuable information provided by experts.
d) Representation: You represent and warrant that you own or have the necessary rights and permissions to use and license the content you provide on PAAQ. You agree that your content does not infringe on any intellectual property rights, including copyrights, trademarks, patents, or trade secrets of any third party.
e) Protection of Intellectual Property: The Company respects the intellectual property rights of others and expects users of the App to do the same. The Company may, in appropriate circumstances and at its discretion, disable or terminate the accounts of users who may be repeat infringers. To report infringement, please follow the procedure laid down in our Intellectual Property Infringement Claims Notice posted on our website and/or App
f) Feedback: Any feedback you provide to the Company will be considered non-confidential and non-proprietary. By providing any feedback, you grant PAAQ and its affiliates a perpetual, worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any such material for any purpose

11. LINKS TO THIRD-PARTY PLATFORMS
The website/App might contain links to third-party website/Apps or services. For example, the website/App works with third party payment service providers to provide you the most convenient payment options. Such third-party links are not under the control of PAAQ, and PAAQ is not responsible for any third-party links. PAAQ provides access to these third-party links only as a convenience to you, and does not review, approve, monitor, endorse, warrant, or make any representations with respect to third-party links. You shall use all third-party links at your own risk, and should apply a suitable level of caution and discretion in doing so. Whenever you click on such links, you may be taken to such a third-party website/App, and you get out of the jurisdiction of our website/App. Therefore, you shall be governed by the legal policies of such third-party website/Apps and we suggest that you read those policies. In case of any damage due to such action of third-party links or inaccuracy of content or wrong information, PAAQ shall not be responsible.
12. DISCLAIMER
By using PAAQ, experts acknowledge and agree to the following disclaimers:
a) No Guarantee of Income: PAAQ makes no representations or warranties regarding the amount of income, if any, that experts may earn through the platform. Earnings are dependent on various factors, including but not limited to user demand, the quality of answers provided, and the expert’s engagement with the platform. PAAQ does not guarantee any specific number of questions or interactions.
b) Accuracy of Information: While PAAQ strives to maintain a high standard of accuracy and reliability, the platform does not guarantee the accuracy, completeness, or usefulness of any information provided by experts. Experts are solely responsible for the content they provide and must ensure that it is based on accurate, up-to-date information and their professional expertise.
c) Professional Liability: Experts are independently responsible for their professional conduct and advice provided on the PAAQ platform. PAAQ does not assume any liability for the actions, advice, or content of experts. Experts must comply with all applicable laws, regulations, and ethical standards relevant to their field of expertise
d) Platform Reliability: PAAQ does not guarantee that the platform will be available at all times or that it will be free from errors, interruptions, or security breaches. While PAAQ strives to provide a reliable and secure platform, there may be times when the service is unavailable due to maintenance, technical issues, or other reasons beyond PAAQ’s control.
e) Indemnification: Experts agree to indemnify and hold harmless PAAQ, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from or related to their use of the platform, their provision of services, or any breach of these Expert Terms. This includes, but is not limited to, any claims of professional malpractice, intellectual property infringement, or breach of confidentiality
f) User Interactions: PAAQ is not responsible for the interactions between experts and users, including any disputes, misunderstandings, or dissatisfaction that may arise. Experts are responsible for conducting themselves professionally and resolving any issues directly with users. PAAQ does not mediate disputes between experts and users.
g) Changes to the Platform: PAAQ reserves the right to modify, suspend, or discontinue the platform, or any part thereof, at any time and without notice. This includes changes to features, functionality, and terms of use. PAAQ is not liable for any inconvenience or loss that experts may experience as a result of such changes.
h) Legal Compliance: Experts are responsible for ensuring that their use of the PAAQ platform and the services they provide comply with all applicable laws and regulations. PAAQ does not provide legal advice and is not responsible for any legal issues that may arise from an expert’s use of the platform.
i) No Endorsement: The inclusion of an expert on the PAAQ platform does not constitute an endorsement or recommendation by PAAQ. Users are encouraged to conduct their own due diligence when selecting experts, and experts must not imply any endorsement by PAAQ in their communications.
j) No Compensation for Downtime or Errors: PAAQ does not guarantee uninterrupted or error-free operation of the platform, including the app and website. Experts acknowledge that the platform may experience periods of downtime, technical issues, or errors that could impact the availability or functionality of services. PAAQ will not be liable for any compensation or damages resulting from such interruptions or issues, and experts are encouraged to have contingency plans in place to manage their professional activities accordingly.
13. LIMITATION OF LIABILITY
a) General Limitation: PAAQ App Limited, including its directors, employees, partners, agents, suppliers, or affiliates, shall not be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the platform; (ii) any conduct or content of any third party on the platform; (iii) any content obtained from the platform; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.
b) Applicable Law Exceptions: Certain jurisdictions do not allow the exclusion or limitation of certain damages, so some or all of the exclusions and limitations in this section may not apply to you if you are located in such jurisdictions. In such cases, PAAQ's liability will be limited to the greatest extent permitted by law.
14. LEGAL ACTION
If you are found to be degrading, tarnishing, maligning the image, goodwill, or reputation of PAAQ by spreading hate, insulting, false, fake reviews or engaging in mala fide actions against the above, strong legal actions will be taken immediately.
15. INDEMNIFICATION
You acknowledge to defend, indemnify, and hold PAAQ, its affiliates, subsidiaries, directors, officers, employees, agents, partners, and any other licensors (hereinafter referred to as “Indemnified Party”) harmless from and against any claim, disputes, fine, liability, demand, or expense, including reasonable legal counsel’s fee, made by a third party, relating to, or arising from:
a) Your violation of ours or any third-party right;
b) Your wrongful or improper use of our services, or platform;
c) Your violation of any applicable laws, rules, or regulations;
d) Your violation of these Terms or any other policy of ours as associated with our services;
e) The indemnifications set forth above will survive the termination or expiration of these Terms and/or your use of our services.
16. GOVERNING LAW AND DISPUTE RESOLUTION
- i. Governing Law: The Terms and any dispute arising from the same will be governed by applicable laws of the Republic of Ireland, except for its conflict of law provisions
- ii. Negotiation and Informal Resolution: In the event of any dispute, controversy, or claim arising out of or relating to this Agreement, you hereby agree to first attempt to resolve the matter through good faith negotiations and discussions.
- iii. Judicial Action: If amicable resolution is not reached despite attempts, in that case either the user or the Company may initiate legal proceedings in the appropriate court located in Dublin, Ireland.
- iv. No Class Actions: The user and the Company agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class, collective, or representative action. Both parties waive the right to participate in or bring class actions.
- v. Attorneys' Fees: In the event of any legal action arising from or related to this Agreement, the prevailing party shall be entitled to recover reasonable attorneys' fees and costs.
- vi. No Waiver of Rights: The pursuit of legal action shall not be construed as a waiver of any rights or remedies available under this Agreement.
- vii. Continuation of Service: Pending the resolution of any dispute, the user agrees to continue abiding by the terms of this Agreement that are not the subject of the dispute.
- viii. Rights Unaffected: Nothing mentioned in this Section shall affect the rights of the Parties to seek any relief of an urgent nature.

18. MISCELLANEOUS

Force Majeure: PAAQ and its third-party service providers will be excused from performance for any period during which, and to the extent that, such party or any subcontractor is prevented from performing any obligation or service, in whole or in part, as a result of causes beyond its reasonable control, and without its fault or negligence, including without limitation, acts of God, communication line failures, technical issues, bugs, errors, power failures and/or similar inabilities.
